1. About these terms

These Terms of Service ("Terms") are a legal agreement between you and Sonarch Sounds Ltd ("we", "us", "our"), a company registered in England and Wales, and govern your purchase, download, installation and use of the sonarch software synthesiser, including the standalone application, the AU and VST3 plug-ins, installers, factory content, documentation and any updates we provide ("the Software").

By purchasing, downloading, installing or using the Software you agree to these Terms. If you do not agree, do not install or use the Software. Our Privacy Policy and Refund Policy form part of these Terms.

If you are a consumer (an individual buying for purposes wholly or mainly outside your trade, business or profession), nothing in these Terms affects your statutory rights, including under the Consumer Rights Act 2015.

2. Licence grant

The Software is licensed, not sold. On receipt of full payment we grant you a perpetual, non-exclusive, non-transferable, worldwide licence to install and use the Software, subject to these Terms.

  • Installations. You may install and activate the Software on up to three (3) computers that you own or control, provided that the Software is used by you alone and not on more than one computer at the same time. If you need more installations, contact us.
  • Personal and commercial use. You may use the Software to create, perform, record and release music, sound design and other audio content, for personal or commercial purposes, with no additional fee or royalty owed to us.
  • Single user. A licence is for one named person. Businesses, studios and educational institutions that need multiple users should purchase one licence per user or contact us for a multi-seat arrangement.
  • Perpetual. Your licence to the version you purchased (and any updates we provide to it) does not expire and does not require a subscription. It ends only if terminated under section 11.
  • Backup. You may keep a copy of the installer for backup purposes.

3. Restrictions

Except to the extent permitted by law that cannot be excluded by agreement, you must not:

  • copy the Software other than as expressly permitted above;
  • sell, rent, lease, lend, sublicense, redistribute or otherwise transfer the Software or your licence to anyone else, except as set out in section 4;
  • reverse engineer, decompile, disassemble or attempt to derive the source code, models, algorithms or internal data of the Software, except to the limited extent that applicable law permits interoperability and you have first asked us for the necessary information;
  • modify, adapt or create derivative works of the Software, or remove or alter any proprietary notices;
  • circumvent, disable or interfere with any licence-verification or copy-protection features, or share licence keys;
  • extract, redistribute or resell the Software's factory content (including wavetables, samples, presets, models and generated patches) as standalone files, sample packs or preset packs, or use the Software to build a competing product or to train a machine learning model;
  • use the Software in any unlawful manner or in breach of any third party's rights.

4. Licence transfer

You may transfer your licence permanently to another person once, provided that: (a) you have not transferred it before; (b) you contact us in advance at hello@sonarchsounds.com with the transferee's details so we can re-issue the licence; (c) you delete all copies of the Software from your computers; and (d) the transferee accepts these Terms. We may charge a reasonable administration fee for transfers.

5. Intellectual property

The Software, and all copyright, trade marks, trade secrets and other intellectual property rights in it, are and remain the property of Sonarch Sounds Ltd or our licensors. "sonarch" and the sonarch logo are trade marks of Sonarch Sounds Ltd. These Terms do not grant you any rights in the Software other than the licence expressly set out above. Third-party components included in the Software are licensed under their own terms, which are provided with the Software where required.

6. Purchase, pricing and taxes

  • Price. The price is as shown on our website or the checkout page at the time you order. Prices are displayed in GBP, EUR and USD as a guide; the amount charged is the price in the currency selected at checkout.
  • Taxes. Prices exclude VAT, sales tax and any similar local taxes, which will be added at checkout where applicable based on your billing country. Depending on your location, our payment provider may collect and remit these taxes on our behalf. Any customs, import duties or bank charges are your responsibility.
  • Introductory pricing. Introductory or promotional prices are available for the period stated and may be withdrawn at any time without notice. A price change does not entitle you to a refund of the difference on an earlier purchase.
  • Payment. Payment is taken in full at the time of purchase through our third-party payment processor. We do not see or store your full card details. The contract between us is formed when we send you confirmation of your order and your download or licence details.
  • Errors. If a pricing error is obvious and could reasonably have been recognised as a mistake, we may cancel the order and refund you in full.

7. Delivery and activation

The Software is supplied as a digital download. After payment we will send your download link and licence details to the email address you gave at checkout, normally within a few minutes. Delivery is complete when that email is sent. You are responsible for providing a correct email address and for checking spam or junk folders.

An internet connection is required to download the installer and, where applicable, to activate your licence. The Software itself does not require an internet connection, account or server to run: all sound generation takes place on your computer.

By requesting immediate delivery of the digital content, you acknowledge that you lose your statutory 14-day right to cancel once the download or licence has been made available to you. See our Refund Policy for the circumstances in which we will still issue a refund or replacement.

8. System requirements and compatibility

The Software is designed to run on the systems described in the system requirements published on our website at the time of your purchase. It is your responsibility to check compatibility before purchasing. We do not guarantee that the Software will work with every host application, operating system update or hardware configuration, and inability to run on a system that does not meet the published requirements is not a defect.

9. Updates and support

  • Version 1.x updates. Your licence includes all maintenance and feature updates to the major version you purchased (Version 1.x), including bug fixes and compatibility updates, for as long as we make them available. We are under no obligation to release updates or to support any particular third-party host or operating system indefinitely.
  • Future major versions. A future major version (for example Version 2.0) may be offered as a separate purchase or as a paid upgrade. Your Version 1.x licence remains valid regardless.
  • Support. We provide reasonable email support at hello@sonarchsounds.com. We aim to reply within 3 working days. Support is provided in English and is limited to installation, activation and the Software's documented functionality; it does not include general music-production tuition or support for third-party software.
  • End of life. If we ever discontinue the Software, your perpetual licence and any copies you already hold continue to be valid under these Terms.

10. Your sounds and content

You own the music, recordings and audio you create with the Software. Patches and presets you create from your own descriptions are yours to use, share and sell, provided you do not redistribute the Software's factory content as standalone files. We claim no ownership of, and take no royalty from, the works you make.

The descriptions you type and the sounds the Software generates are processed locally and are not transmitted to us. We have no access to them.

11. Termination

These Terms remain in force for as long as you use the Software. We may terminate your licence, by notice to the email address we hold for you, if you materially breach these Terms and (where the breach can be remedied) fail to remedy it within 14 days of our asking you to. On termination you must stop using the Software and delete all copies. Sections 5, 10, 12, 13 and 14 survive termination.

12. Warranty

If you are a consumer, we are legally obliged to supply digital content that is of satisfactory quality, fit for purpose and as described. If the Software does not conform, you may be entitled to have it repaired or replaced, or, if that is not possible or not done within a reasonable time, to a price reduction or refund. If the Software causes damage to your device or other digital content and we have failed to use reasonable care and skill, you may be entitled to repair or compensation. If you are a business, the Software is provided "as is" and, to the fullest extent permitted by law, we exclude all warranties, conditions and terms, whether express or implied by statute, common law or otherwise, including any implied terms of satisfactory quality, fitness for a particular purpose and non-infringement.

In either case, we do not warrant that the Software will be error-free or uninterrupted, that every sound description will produce the result you had in mind, or that the Software will meet your specific requirements. The Software generates patches by interpreting text; results are creative approximations and may vary.

13. Limitation of liability

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; breach of the terms implied by the Consumer Rights Act 2015 where you are a consumer; or any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above:

  • Consumers. We are responsible for foreseeable loss and damage caused by our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable, or for business losses, as the Software is supplied to consumers for domestic and private use only.
  • Businesses. We shall not be liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss; and our total aggregate liability arising out of or in connection with these Terms or the Software shall not exceed the amount you paid for the Software.

You are responsible for backing up your projects and data. We recommend saving your work regularly and testing the Software in your setup before relying on it in a live or time-critical situation.

14. General

  • Changes to these Terms. We may update these Terms from time to time, for example to reflect changes in law or in the Software. The current version will always be published on our website with the date it was last updated. Changes do not reduce the rights you already have under the licence you purchased.
  • Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between us regarding the Software and supersede any prior understanding.
  • Severability. If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force.
  • No waiver. Our failure to enforce any right does not waive that right.
  • Assignment. We may transfer our rights and obligations under these Terms to another organisation, and will tell you if that happens. You may only transfer your licence as set out in section 4.
  • Export. You agree to comply with any applicable export-control and sanctions laws when downloading or using the Software.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales. If you are a consumer, you also benefit from any mandatory consumer-protection provisions of the law of the country in which you live, and you may bring proceedings in the courts of that country. If you live in Scotland or Northern Ireland you may bring proceedings in the Scottish or Northern Irish courts respectively. Business customers agree that the courts of England and Wales have exclusive jurisdiction.
